Business-to-Business (B2B) Terms and Conditions

These Terms and Conditions (“Terms”) govern all contracts, quotations, and
transactions between EPEC Ltd (“we”, “our”, “us”) and any business
customer, client, or trading partner (“you”, “your”).
By placing an order, entering into a contract, or otherwise doing business with
EPEC Ltd, you acknowledge that you have read, understood, and agree to be
bound by these Terms.

2. Basis of Contract
These Terms apply to all quotations, orders, and contracts for the supply of
goods or services by EPEC Ltd to business clients.
Any terms or conditions proposed by you are expressly excluded unless
agreed in writing and signed by an authorised representative of EPEC Ltd.
Each order constitutes a separate contract subject to these Terms.
3. Quotations and Orders
Quotations are valid for 30 days unless otherwise stated.
No order shall be binding until confirmed in writing by EPEC Ltd.
We reserve the right to refuse or cancel any order prior to dispatch or
commencement of work for any reason.
4. Prices and Payment
All prices are exclusive of VAT, import duties, and taxes, unless otherwise
stated.
Unless otherwise agreed, payment terms are 30 days from invoice date.

We reserve the right to require payment in advance or irrevocable Letter of
Credit (L/C) for international transactions.
Late payments will incur interest under the Late Payment of Commercial
Debts (Interest) Act 1998, currently at 8% per annum above the Bank of
England base rate, plus reasonable recovery costs.
All invoices must be paid in full and without set-off or deduction.
5. Delivery and Risk
Delivery dates are estimates only. EPEC Ltd shall not be liable for delays
beyond its reasonable control.
Risk in goods passes to you upon delivery, according to the agreed Incoterm
(Incoterms® 2020) or, if none is specified, upon handover to the carrier.
Title to goods remains with EPEC Ltd until full payment (including interest and
charges) has been received.
You must not resell or pledge goods until title has passed.
6. Inspection and Acceptance
You must inspect goods immediately upon delivery and notify us in writing
within 7 business days of any defects or shortages.
If no notice is received, goods will be deemed accepted and in full conformity
with the contract.
7. Warranties and Liability
EPEC Ltd warrants that goods supplied will conform to agreed specifications
and be free from material defects at the time of delivery.
Except as expressly stated, all other warranties (express or implied) are
excluded to the fullest extent permitted by law.
Our total liability in contract, tort (including negligence), or otherwise shall not
exceed the total contract value or the amount paid for the goods or services
giving rise to the claim.

We shall not be liable for loss of profit, loss of business, indirect or
consequential losses, or third-party claims.
8. Force Majeure
We shall not be liable for any failure or delay in performing our obligations due
to circumstances beyond our control, including but not limited to: acts of God,
war, sanctions, transport delays, pandemics, or government restrictions.
During such events, performance will be suspended until the event ceases.
9. Export, Import, and Compliance
You are responsible for ensuring compliance with all export/import laws,
customs regulations, and sanctions in your jurisdiction.
EPEC Ltd complies with UK Export Control and international trade
regulations, and reserves the right to refuse or cancel orders that would
breach applicable laws.
10. Intellectual Property
All intellectual property, designs, specifications, or documentation supplied by
EPEC Ltd remain our property unless otherwise agreed.
No licence or rights are granted except for the purpose of using the goods or
services supplied.
11. Confidentiality
Each party shall keep all business, financial, or technical information received
from the other strictly confidential and shall not disclose it to any third party
without prior written consent, except as required by law.
12. Termination
EPEC Ltd may suspend or terminate a contract immediately if:
You fail to pay any amount when due;
You breach a material term and fail to remedy it within 14 days of written
notice;
You become insolvent, cease trading, or enter administration or liquidation.

Upon termination, all outstanding invoices become immediately due and
payable.
13. Data Protection
We process all personal and business data in compliance with the UK
General Data Protection Regulation (UK GDPR) and the Data Protection Act
2018.

14. Governing Law and Jurisdiction
These Terms and any disputes arising under them shall be governed by and
construed in accordance with the laws of England and Wales.
The parties agree to the exclusive jurisdiction of the courts of England and
Wales.
For international disputes, EPEC Ltd may elect to resolve disputes by
arbitration under the ICC Rules, with proceedings conducted in London,
England, in the English language.
15. Entire Agreement
These Terms, together with any written quotation, invoice, or signed contract,
constitute the entire agreement between EPEC Ltd and the Buyer.
No oral statements or prior representations shall have any effect.
